TERMS AND CONDITION OF USE

These terms and conditions of use apply between you and Sound Training for Reading Ltd trading as and referred to in these terms as Lexonik (registration number 06977154), a company registered in England. Our VAT number is 11882390. Lexonik offers you a subscription to Lexonik Grammar (“Subscription”) which is an online learning product accessible at www.courses.lexonik.co.uk (the "Website")

You are welcome to review the video introductory guide to Lexonik Grammar available here before continuing to make your purchase.

Enjoyment of the full benefit of Lexonik Grammar requires a one-time Subscription payable to Lexonik. In return you will be provided with access to the full product experience subject to these terms and conditions for 6 months.

To purchase access to Lexonik Grammar you must be at least 18 years old or older (or have your parent or guardian's consent) and have a smartphone/tablet (“Mobile Device”) or computer with a reliable internet connection.

1. TERMS AND CONDITIONS TO APPLY

These terms and conditions of use apply between you and Lexonik when you purchase Lexonik Grammar (“the Service”). The Service is provided solely on the basis that you are a consumer purchasing a Subscription to the Service on a non-commercial basis.

2. ABOUT THE SERVICE

2.1. To get access to the Service you must accept and agree to these terms and conditions and create a user account by registering certain personal data (including but not limited to name, email address, country etc.) and choose a personal password. You will then have the opportunity to purchase a Subscription to the Service.

2.2. In registering a User Account you will be provided with the opportunity to review the terms and conditions upon which we provide access to Lexonik Grammar and you will be requested to review Lexonik’s Privacy Policy (the “Privacy Policy”) in relation to the Service and our Cookie Policy. You will also be asked to give Lexonik your consent to enable Lexonik to process your personal data in accordance with the Privacy Policy [and our cookie policy. Please note that should you ever withdraw your consent to us holding your email address you will not thereafter be able to access the Service.

2.3. You will then be able to purchase a subscription. We ask you to note the important information that we provide as you carry out the process of purchasing your subscription.

2.4. The facility we use to receive your payment is PayPal. Personal data provided at that point in the process is received by PayPal. We provide a link to PayPal’s privacy and cookie policies at the point of payment for your reference.

2.5. As you complete your purchase you will be asked to acknowledge and agree to these terms and conditions. Note that a subscription allows you to log on to the Application or Website with your username and your password on one computer or device at a time.

2.6. By logging on to the Service through your User Account you can access and stream the Content provided to you through the Subscription.

2.7. You will find detailed information regarding which Mobile Devices and operating system versions the Service supports here. You are responsible for updating your Mobile Device or any operating software program that is needed from time to time, in order to access the Service.

2.8. You are responsible for submitting complete, true and correct information and for making sure such information is kept up to date. Your username and password shall be stored securely. You are responsible for all use of the Service that occurs under your username and password. If your username or password is lost or stolen or if you have any reason to believe that there has been an unauthorised access to your User Account, please notify Lexonik immediately and change your password as soon as possible.

3. PRICE AND PAYMENT FOR SUBSCRIPTION

3.1. Lexonik offers Lexonik Grammar for a single subscription charge taken at the point at which you agree to subscribe (“Subscription Charge”).

3.2. PayPal will require you to register current and valid payment information in accordance with any of the payment methods which are offered from time to time and which correspond to the country chosen by you when creating your User Account. This means that when a credit or debit card is needed, you need a credit or debit card issued in the same country that you are resident in or provide other information required for the payment method in question.

3.3. The Subscription Charge is published on the Website. All prices include value added tax (VAT) (where applicable).

3.4. In order to access Lexonik Grammar your Subscription Charge must have been paid in full.

4. NO RIGHT OF WITHDRAWAL

Consumer Rights legislation in relation to the purchase of digital products limits the right of cancellation. When purchasing a Subscription you will be required to agree that in consideration of our providing you with immediate access to the Service you lose a right of withdrawal from these terms and conditions. You acknowledge that you do not have any right of cancellation except as provided for in accordance with section 5 below.

5. TERMINATION AND SUSPENSION FROM THE SERVICE

5.1. Lexonik has the right to suspend your access to the Service for your breach of these terms and conditions, or any applicable law or regulation.

5.2. Your access to the Service may not be provided if the Subscription Charge cannot be charged for a reason beyond Lexonik's control. When the Subscription Charge has been paid, your access to the Content in your Subscription will be provided.

6. SUPPORT

If you have any questions or problems with the Service, please contact Lexonik's support service. You can contact us for support by emailing coursres@lexonik.co.uk. Any complaints are handled by the support team whose contact information is set out in section 15 below.

7. AMENDMENTS TO THE SERVICE, PRICE AND AGREEMENT

7.1. Lexonik is committed to ensuring that subscribers can make the most of Lexonik Grammar. In consequence the Content may be updated from time to time.

7.2. Lexonik may from time to time make changes to these terms and conditions but these shall not unless required by law to do so have effect in relation to a current Subscription. If you intend to take out a further Subscription at a later date please review again the Terms and Conditions at that time as these may have changed.

8. INTELLECTUAL PROPERTY RIGHTS

8.1. The content of the Service, including but not limited to and all software used in the Service are the sole property of Lexonik, Lexonik's licensors or suppliers (the "IP Rights"). The Intellectual Property is, or may be, protected by applicable international laws, including, without limitation, copyright and other laws and agreements that protect intellectual property and proprietary rights. You agree to comply with all such applicable laws and agreements, and not to alter, obscure or remove the notices regarding copyright or ownership rights in such Intellectual Property.

8.2. Lexonik is a trademark of Lexonik in the UK. Except as otherwise required or limited by applicable law, any reproduction, distribution, modification, retransmission, or publication of any copyrighted or trademarked material is strictly prohibited without the express written consent of the copyright owner or licensor.

8.3. The software which is incorporated into the Service is licensed, and not sold, to you. Through your Subscription for the Service you are given a personal, non-exclusive, non-transferable, non-assignable, non-sub-licensable right, which is time-limited, to use the software. Lexonik retains ownership of the software. Lexonik has the right to assign this license or any part thereof to any third party without restrictions.

8.4. You may only use Lexonik Grammar for personal use. Unless otherwise stipulated by copyright law in your territory you do not have the right to change or amend the work that constitutes the Content, rent or lease, sell, sublicense or in any other way distribute the Content or create copies of the Content. Lexonik's status (and that of any identified contributors including moral rights where asserted) as the authors of the Content on the Website must always be acknowledged.

9. AVAILABILITY

Lexonik endeavours to provide the service on a 24.7 basis. However, Lexonik cannot guarantee that the use of the Service will at all times be uninterrupted or faultless. You may from time to time experience service interruption due to our maintenance activities which may include essential backup copying, maintenance, improvements, security updates or the like. Lexonik will, to the extent possible, inform you of any planned interruptions by posting information on the Website and/or advising you through an email communication if you have consented to communications of this kind and have not withdrawn your consent.

10. WARRANTY

10.1. When you purchase Lexonik Grammar as a consumer we are under a legal duty to supply a product that is in conformity with these terms and conditions. See the box below for a summary of your key legal rights in relation to the Lexonik Grammar. Nothing in these terms will affect your legal rights.

10.2. Please note that you are solely responsible for your internet connection. Lexonik is not at any time responsible for you not being able to download or otherwise access Lexonik Grammar or any of its Content. Content which is accessed through the use of Service is available at your own risk and we are not responsible for any damage to your computer or other device, or loss of data that occurs as a result of your access and use of such material.

11. LIMITATION OF LIABILITY

11.1. Nothing in these terms and conditions shall be taken to affect Lexonik’s liability for death or personal injury arising from negligence or fraud or fraudulent misrepresentation or other liability which may not be excluded or limited by law.

11.2. To the extent permitted by law Lexonik excludes all conditions, warranties, representations or other terms which may apply to the Services or any Content whether express or implied.

11.3. To the extent permitted by law Lexonik is not liable for any loss or damage whether in contract, tort or under any other legal theory including for negligence breach of statutory duty or otherwise even if foreseeable arising under or in connection with:

11.4. Use of or inability to use any part of the Services or

11.5. Use or reliance on any Content provided under the Service.

11.6. In particular Lexonik shall not be responsible for any indirect or consequential loss or damage occasioned through the use of or reliance upon the Service.

11.7. Lexonik’s maximum liability for claims made by a subscriber shall be limited to the Subscription Charge paid.

12. THIRD PARTY LINKS AND RESOURCES IN APPLICATION AND WEBSITE

Where Lexonik's Application and/or Website contains links to other sites and resources provided by third parties, these links are provided for your information only. Lexonik has no control over the contents of those sites or resources.

13. USERS ACCESS AND VIRUSES

13.1. You are responsible for configuring your information technology, computer programmes and platform in order to access the Services, the Application and/or the Website. You should use your own virus protection software.

13.2. Your attention is drawn to the Computer Misuse Act 1990. You must not under any circumstance cause harm to arise to Lexonik's Application or Website through you knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not:

(a) attempt to gain unauthorised access to Lexonik's Application, Website, the server on which they are stored or any server, computer or database connected to them.

(b) attack Lexonik's Services via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you may commit a criminal offence under applicable law. Lexonik will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use Lexonik's Services will cease immediately.

14. TRANSFER OR ASSIGNMENT

Lexonik is entitled to transfer or assign all or parts of its rights and obligations under these terms and conditions. The licence we grant is personal to you and you may not transfer or assign any rights or obligations under these terms and conditions to any other party.

15. GENERAL

15.1. If you wish to register any concerns relating to your access to and enjoyment of the Service please contact us via email courses@lexonik.co.uk.

15.2. Subject to any law binding upon Lexonik arising in any jurisdiction other than England these terms and conditions subject to the laws of England.

15.3. Furthermore, you and Lexonik agree to the exclusive jurisdiction of the courts of England to resolve any dispute, claim or controversy that arises in connection with these terms and conditions.

15.4. If any of the terms of these terms and conditions should be determined to be inconsistent with law, then any offending term shall be regarded as struck out all remaining terms of these terms and conditions surviving such a determination.

15.5. Any failure by Lexonik to enforce any of the terms of these terms and conditions shall not be taken to be a waiver of such term.

15.6. These terms and conditions are the entire agreement between you and Lexonik and supersedes all prior or contemporaneous negotiations, discussions or agreements between you and Lexonik related to the Website and Lexonik Grammar.
